The potential deal could scupper the plans of rival Microsoft, which was also rumoured to be eyeing a stake in the Internet arm of media conglomerate Time Warner.
According to a report in Reuters, the firms could reach an agreement later this week when the board of Time Warner meets in New York.
If the deal goes ahead, AOL would continue to use Google's search engine, reuters reported.
AOL is Google's biggest customer, accounting for some $429m, or 10%, of Google's revenue during the first nine months of 2005 year.
